1. Introduction

These Terms of Service (“Terms”) govern access to and use of the Accredited Digital Asset Custodian platform (“Accredited”, “we”, “us”, “our”). By creating an account, accessing the platform or using any Accredited service, the user (“you”, “your”, “the user”) agrees to be legally bound by these Terms. If you do not agree, discontinue use immediately.

2. Regulatory Status

Accredited currently operates under an interim regulatory framework and is progressing toward certification under the European Digital Governance and Virtual Securities Ordinance (DGVSO), with phased legal effect starting 1 January 2026. Compliance modules, reporting structures, settlement mechanisms and identity verification may evolve and can change without notice. A European Responsible Entity will be designated upon certification. Interim use is subject to operational limitations.

3. Eligibility and User Obligations

Users must be at least 18 and legally permitted to access Digital Asset services in their jurisdiction. Users agree to provide accurate identity information and any documents required for KYC, AML or regulatory compliance and remain fully responsible for complying with all applicable laws and disclosures.

4. Nature of Services

Accredited provides a digital-asset wallet, digital-deed management, settlement and simulation layers and optional issuer tools. Accredited does not provide financial, tax, legal or investment advice and is not a fiduciary or broker. Unless explicitly defined in a separate custodian agreement, Accredited does not store, manage or recover private keys or credentials.

5. Account Security and Credentials

Users are fully responsible for safeguarding credentials, including passphrases, private keys, seed phrases, authentication devices and Next-of-Kin configuration data. Accredited cannot restore, regenerate or recover lost, destroyed or compromised keys or credentials; loss can result in permanent loss of access to assets and data.

6. Digital Asset Risks

Digital Assets involve significant risks including volatility, liquidity collapse, regulatory changes, technological failures, protocol vulnerabilities, security breaches and total loss of value or access. Accredited provides no guarantee regarding value, legality, stability, performance, redeemability or continuity of any asset.

7. Platform Availability and Modifications

Accredited is provided on an “as is” and “as available” basis. We may modify, suspend or discontinue any part of the platform at any time for regulatory, technical, operational or security reasons and are not liable for related loss or downtime.

8. Third-Party Dependencies

Accredited may integrate external networks, identity providers, oracles, custodial partners, blockchain protocols, social platforms or data services. We are not responsible for outages, delays, inaccuracies, vulnerabilities or failures originating from third parties.

9. Tax Compliance

Users are solely responsible for all taxes, filings, disclosures, declarations and reporting obligations arising from their Digital Asset activities. Accredited may provide tools or reports but does not guarantee accuracy, completeness or suitability for regulatory submission and assumes no liability for penalties.

10. Next-of-Kin and Inheritance Features

Inheritance functions operate exclusively according to user-defined rules. Accredited is not responsible for errors in configuration, incorrect successor data, trigger failures or disputes concerning ownership transfer.

11. No Financial, Legal or Tax Advice

No communication or functionality within Accredited constitutes financial, tax, investment or legal advice. Users must seek independent professional advice before making related decisions.

12. Limitation of Liability

To the maximum extent permitted by law, Cedent Ressource Partners Inc., Cedent DLT LLC and affiliates disclaim all liability for direct, indirect, incidental, consequential or exemplary damages, including asset loss, lost credentials, service interruptions, data corruption, protocol failures, regulatory restrictions, user error or reliance on platform information. Users access the platform at their own risk.

13. Force Majeure

Accredited is not liable for delays, disruptions or failures caused by events outside reasonable control, including natural disasters, war, civil unrest, governmental orders, sanctions, infrastructure collapse, power failures or third-party outages.

14. Amendment of Terms

Accredited may update or amend these Terms at any time. Continued access or use after modifications constitutes acceptance. Users are responsible for reviewing the Terms periodically.

15. Termination

Accredited may suspend or terminate accounts at its discretion, including for suspected fraud, non-compliance, misuse, regulatory conflict or risk to platform integrity. Users may discontinue use at any time by ceasing access.

16. Governing Law

These Terms are governed by the laws applicable to Cedent Group Ltd., Saint Kitts and Nevis, and Cedent DLT LLC, United Arab Emirates, unless superseded by mandatory jurisdictional requirements.

17. Acceptance

By logging in, accessing or using Accredited, the user confirms understanding and acceptance of these Terms, acknowledges the interim regulatory status, accepts all risks related to Digital Assets, assumes full responsibility for securing credentials, agrees to comply with applicable laws and consents to ongoing updates and modifications.
