Several issuers offering Digital Assets on the Accredited platform operate in a beta, experimental or early-stage environment. Tokens made available through such issuers may rely on untested or partially audited smart-contract structures, settlement frameworks and exposure models. Users acknowledge that certain Digital Assets on the platform may exist only in simulated form, in issuer-managed staking arrangements, or under restricted delivery conditions where the issuer, and not the Accredited platform, controls the timing, issuance, delivery, vesting or release of such tokens. Delivery or transfer of certain assets may therefore be subject to issuer-specific conditions, regulatory limitations or contractual restrictions beyond the control of Cedent Group Ltd. or Cedent DLT LLC.

Accredited functions strictly as a technological infrastructure provider. Cedent Group Ltd. and Cedent DLT LLC have no authority, custody power or operational control over issuer assets, smart contracts, private keys or user credentials. Accredited cannot modify, retrieve, freeze, recover or reverse any transaction or token movement. Accredited is not a bank, fiduciary, broker-dealer, transfer agent or financial intermediary, and has no ability to interact with Digital Assets held by users or issuers beyond providing the technical environment in which those assets operate. Responsibility for the legality, regulatory classification, technical validity and contractual enforceability of any Digital Asset rests exclusively with the issuer.

Digital Assets made available by issuers may include utility tokens, digital deeds, tokenised contracts, tokenised equity, membership units, tokenised debt instruments or other forms of digitalised rights. Such instruments may not be recognised, permitted or legally valid in all jurisdictions. In particular, certain tokenised instruments may constitute securities, financial instruments or regulated products under the laws of specific countries. Users located in the United States or any other jurisdiction with enhanced securities regulations may be subject to restrictions, limitations or eligibility requirements that must be clarified directly with the issuer. Cedent Group Ltd. and Cedent DLT LLC do not provide regulatory validation of issuer tokens and do not confirm or guarantee compliance of any issuer product with US securities laws or with the legal frameworks of any other jurisdiction.

Issuers on the platform operate independently. Accredited does not audit, verify, supervise or guarantee the solvency, licensing status, financial integrity, legal standing or regulatory compliance of any issuer. Accredited makes no representation regarding the accuracy, completeness or regulatory classification of whitepapers, offering documents, smart contracts, disclosures, valuation statements or communications from issuers. Any interaction with issuer products is undertaken entirely at the user’s own risk and must be evaluated with appropriate legal, financial and tax advisors.

Users acknowledge that any Digital Asset accessed through an issuer on the platform may carry heightened risks, including total loss, inability to redeem or transfer assets, invalidity of issuer claims, chain-level or contract-level failures, regulatory enforcement action, retroactive reclassification of tokens and long-term illiquidity. Cedent Group Ltd. and Cedent DLT LLC disclaim all liability for issuer behaviour, issuer solvency, issuer decision-making, compliance breaches, inaccurate statements, delays in delivery or failure of issuers to meet obligations under their own contracts or representations.

By purchasing, holding or interacting with any issuer-related Digital Asset on Accredited, users confirm that they understand: (i) the issuer alone is responsible for the legal, technical and economic structure of its Digital Assets; (ii) Accredited is a technical interface that neither influences nor participates in the issuance, sale, transfer or redemption of such products; (iii) regulatory responsibilities and compliance obligations lie exclusively with issuers and users; and (iv) Accredited cannot intervene in or remedy any loss, misdelivery, failure or irregularity arising from issuer-controlled assets, smart contracts or token distributions.
